Overview

These Terms of Service ("Terms") govern your access to and use of Noter, including the Noter application and the noter.so website.

By using Noter, you agree to these Terms. If you do not agree, do not use Noter.

The Service

Noter helps users prepare for, record, transcribe, summarize, and manage meetings. The product may include features such as:

  • Calendar-based meeting detection
  • Meeting recording
  • Transcription
  • AI-generated notes and summaries
  • Action items and follow-ups
  • Pre-meeting briefs
  • Contact and company context

We may change, add, remove, suspend, or discontinue features at any time.

Accounts

You may need to sign in with Google or another supported authentication provider to use Noter.

You are responsible for maintaining the security of your account and for all activity under your account.

You must provide accurate account information and use Noter only for lawful purposes.

Meeting Recording Responsibilities

You are responsible for complying with all laws, platform rules, workplace policies, confidentiality obligations, and consent requirements that apply to recording or transcribing meetings.

Before recording a meeting, you must make sure you have the right to do so. This may require notifying participants or obtaining consent, depending on the location of participants, the nature of the meeting, your role, and applicable law.

Noter does not determine whether a meeting may legally be recorded. That responsibility remains with you.

User Content

"User Content" means information you provide to or generate through Noter, including meeting audio, transcripts, notes, summaries, calendar data, contact data, and related meeting context.

You retain ownership of your User Content.

You grant Noter a limited right to process User Content only as needed to provide, maintain, secure, and improve the service. This includes processing User Content through service providers used for hosting, recording, transcription, AI note generation, analytics, diagnostics, and related operations.

You represent that you have the rights necessary to provide User Content to Noter and to allow Noter to process it as described in these Terms and our Privacy Policy.

AI-Generated Output

Noter may use AI systems to generate summaries, notes, action items, briefs, and other outputs.

AI-generated output may be incomplete, inaccurate, misleading, or inappropriate. You are responsible for reviewing and verifying AI-generated output before relying on it, sharing it, or using it to make decisions.

Noter does not provide legal, financial, medical, employment, or professional advice.

Acceptable Use

You agree not to use Noter to:

  • Violate any law or regulation
  • Record people without required notice or consent
  • Infringe privacy, intellectual property, confidentiality, or contractual rights
  • Upload or process content you do not have the right to use
  • Harass, harm, impersonate, or mislead others
  • Reverse engineer, interfere with, or disrupt the service
  • Attempt to gain unauthorized access to Noter or related systems
  • Use the service to develop competing models or services in violation of these Terms
  • Abuse, overload, scrape, or misuse the service

We may suspend or terminate access if we believe you have violated these Terms or created risk for Noter, users, service providers, or third parties.

Third-Party Services

Noter relies on third-party services for hosting, authentication, recording, transcription, AI processing, analytics, diagnostics, email delivery, and related functions.

Your use of Noter may involve third-party platforms such as Google, video-conferencing providers, transcription providers, AI providers, and infrastructure providers.

We are not responsible for third-party services, and their terms and policies may also apply.

Privacy

Our Privacy Policy explains how we collect, use, share, and protect information.

By using Noter, you agree that we may process information as described in the Privacy Policy.

Beta / Early-Stage Product

Noter may be offered as an early-stage or beta product. The service may contain bugs, interruptions, data errors, incomplete features, or other issues. We may modify or discontinue the product at any time.

You should not rely on Noter as the only copy of important notes, transcripts, summaries, or records.

Fees and Payments

Some features may be free, and others may require payment.

If paid plans are introduced, pricing, billing terms, renewal terms, and cancellation terms will be provided before you purchase.

Unless otherwise stated, fees are non-refundable except where required by law.

Intellectual Property

Noter and its software, design, branding, website, and related materials are owned by Noter or its licensors.

These Terms do not grant you ownership of Noter's intellectual property.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Noter except as permitted by law or with written permission.

Feedback

If you provide feedback, suggestions, ideas, or feature requests, you allow us to use them without restriction or compensation to you.

Disclaimers

Noter is provided "as is" and "as available."

We do not guarantee that the service will be uninterrupted, secure, accurate, error-free, or available at all times. We do not guarantee the accuracy of transcripts, summaries, AI-generated notes, action items, or meeting briefs.

You use Noter at your own risk.

Limitation of Liability

To the maximum extent permitted by law, Noter will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.

To the maximum extent permitted by law, Noter's total liability for any claim related to the service will not exceed the amount you paid to use Noter in the 3 months before the claim arose, or USD $100 if you have not paid to use Noter.

Indemnification

You agree to indemnify and hold Noter harmless from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of Noter
  • Your User Content
  • Your violation of these Terms
  • Your violation of law
  • Your recording, transcription, or sharing of meeting content
  • Your violation of another person's rights

Suspension and Termination

You may stop using Noter at any time.

We may suspend or terminate your access if you violate these Terms, create risk, misuse the service, or if we discontinue the service.

Upon termination, your right to use Noter ends. Certain provisions of these Terms will continue to apply, including ownership, disclaimers, limitation of liability, indemnification, and dispute-related provisions.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by email, in the application, or through another reasonable method.

Your continued use of Noter after updated Terms become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Any disputes will be resolved in the state or federal courts located in California, unless applicable law requires otherwise.
